These Terms of Service ("Terms") govern your access to and use of the SparkGrid.ai website and related services ("Services") provided by:

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

SparkGrid.ai provides an AI-native energy management platform, including the SparkGrid cloud platform, SparkEdge local controllers, and related hardware products (solar panels, battery storage, EV chargers, power meters). Our Services include the website, platform access, documentation, and support.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our Services. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Certain Services may require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information and notify us immediately of any unauthorized use.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Upload or transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to infringe upon the intellectual property rights of others
• Resell, redistribute, or sublicense the Services without our written consent

All content, software, trademarks, logos, and other intellectual property on the SparkGrid.ai website and platform are owned by or licensed to G-Energy Systems d.o.o. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Where you provide feedback or suggestions about our Services, you grant us a non-exclusive, royalty-free, worldwide license to use such feedback to improve our products and services.

Access to the SparkGrid platform and SparkEdge hardware is subject to the terms of the applicable service agreement, order form, or product warranty. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail.

Hardware products (solar panels, batteries, EV chargers, power meters) are subject to the manufacturer's warranty terms and applicable EU consumer protection regulations.

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR (EU) 2016/679 and the Slovenian ZVOP-2. Where we act as a data processor on your behalf, the terms of data processing are governed by a separate Data Processing Agreement (DPA).

To the maximum extent permitted by applicable law:

• The Services are provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
• Our total liability to you for any claims arising from or related to the Services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law. EU consumer protection rights remain unaffected.

You agree to indemnify and hold harmless G-Energy Systems d.o.o. and its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will survive.

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the Republic of Slovenia, without regard to conflict of law principles. The courts of Ljubljana, Slovenia, shall have exclusive jurisdiction over any disputes arising from or related to these Terms.

For consumers residing in the EU: you may also be entitled to bring proceedings in the courts of your country of residence. Nothing in these Terms affects your statutory rights as a consumer under EU law.

The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
